STANDARD TERMS AND CONDITIONS OF SALE

1. Prices: All prices are in SAR.
2. Payment may be made by wire transfer.
3. Validity: This quotation is valid for 30 days unless stated otherwise.
4. Payment: 100% Advance with PO.
5. Customs duties, shipping, and other costs: Prices do not include customs duties, shipping, and additional costs. These will be included in a separate Purchase / Sales Order and paid 100% in advance.
6. Discrepancy: All discrepancies should be notified within seven days after the invoice date; otherwise, all charges will be deemed correct.
7. Proposed Delivery Time: 4-5 working days for stock items and 10-14 weeks for non-stock material, starting from receiving Tamkeen Systems Sales Order confirmation against purchasing order with fulfilled payment terms, unless otherwise stated.
8. Delivery Location: Saudi Arabia.
9. These prices are discounted and exclusive for this project ONLY; the same prices might be "NOT" applied for other deals accordingly.
10. This proposal is one unit, and its items cannot be ordered individually or changed unless stated in prior agreement with the Tamkeen Systems sales representative.
11. Confidentiality: Prices & seller's data are confidential; the buyer will not disclose or make available the Seller's data or other proprietary and confidential information to any third party without the Seller's prior written authorization from Tamkeen Systems.
12. Warranty: As per standard manufacturer policy, unless otherwise stated, the buyer shall pay all, including Customs duties, shipping & other costs, if it is sent for maintenance or replacement outside of Saudi Arabia.
13. Product Installation: Installation, configuration, testing, training & commissioning of the above is NOT included unless stated.
14. The purchaser should ensure that the ultimate BOM contains all necessary components, options, and accessories to provide the functions for the designated project. Tamkeen Systems is not responsible and liable for the components' accuracy or sufficiency.
15. Material availability for either in-hand stock or in-shipping way is subject to the prior sale for confirmed POs that have released payment terms "ONLY."
16. Review and accept conditions, terms, and notes of Tamkeen Systems' commercial proposal by the buyer here are considered part of the intended client PO.
17. Purchasers agree to accept full/partial material delivery within one week after receiving Tamkeen Systems' notice of material readiness.
18. If the purchaser delays accepting full/partial material delivery to their premises for more than one week after receiving Tamkeen Systems' notice of readiness, Tamkeen Systems has the right to apply a penalty of 2% of the total ready material value each week of delay, but not exceeding 12% of the total order value.
19. Tamkeen Systems has the right to unpack/resell the sales order items if the client doesn’t fulfill the payment terms or becomes unresponsive one week after receiving Tamkeen Systems' warning for material readiness.
20. The purchaser might re-order the items with new prices and delivery times as applicable.
21. The purchaser will pay 100% of the hardware material against the Sales order confirmation acknowledgment of shipment and a 12% penalty of the total canceled items value of the sales order if the shipment has not been confirmed.
22. Software items shall be against advance payment and cannot be canceled once the sales order is confirmed.
23. Advance payment can be made by wire transfer, payable bank check, or bank letter of credit (LC).
24. Tamkeen Systems is not responsible or liable for delays caused by manufacturing vendors or force majeure that Tamkeen Systems does not control.
